1. AGREEMENT ACCEPTANCE

By accessing and using OSP (Online Student Portal), you agree to be bound by these Terms & Conditions. If you represent an educational institution, you represent that you have authority to enter into this agreement on behalf of the institution. Your continued use of OSP constitutes acceptance of these terms. If you do not agree with any provision, you must immediately cease using the service.

2. SERVICE DESCRIPTION

OSP is a comprehensive education management platform providing schools, colleges, and universities with:

• Student information management and database administration
• Attendance tracking with biometric integration capabilities
• Academic record management and result processing
• Parent and teacher mobile applications
• Live classroom and distance learning features
• Integrated payment gateway for fee collection
• Advanced analytics and reporting dashboards
• 24/7 technical support and maintenance services

3. USER ELIGIBILITY & ACCOUNT RESPONSIBILITY

Eligibility Requirements:

• User must be 18 years of age or older (or parent/legal guardian)
• Institutional accounts must be authorized representatives of registered educational institutions
• Parent accounts must be authorized guardians of enrolled students
• Users must provide accurate, complete, and current information

Account Security: You are responsible for maintaining confidentiality of login credentials and all activities under your account. Notify OSP immediately of unauthorized access. OSP is not liable for unauthorized use resulting from your negligence.

4. PROHIBITED ACTIVITIES & USE RESTRICTIONS

Users agree NOT to:

• Use OSP for illegal, fraudulent, or harmful purposes
• Access or collect data without authorization
• Attempt to breach platform security or bypass authentication mechanisms
• Engage in hacking, malware distribution, or denial-of-service attacks
• Harassment, abuse, or threatening behavior toward other users
• Upload viruses, malware, or malicious code
• Violate intellectual property rights or copyrights
• Impersonate other users or misrepresent affiliation
• Scrape or bulk download student or institutional data
• Access data beyond your authorized role and permissions
• Commercial use of student or institutional data
• Resell, redistribute, or sublicense OSP access without permission

5. ACCEPTABLE USE POLICY

Users must:

• Use OSP only for authorized educational purposes
• Comply with all applicable laws and regulations
• Protect student privacy and confidential information
• Use data only in accordance with institutional policies
• Report security vulnerabilities to OSP immediately
• Maintain professional conduct in all communications
• Respect intellectual property rights of OSP and third parties
• Comply with data protection and educational regulations (GDPR, PDPA, SECP, etc.)

6. SUBSCRIPTION & BILLING

Subscription Plans: OSP offers per-student annual, multi-year, and lifetime institutional licenses as outlined on our pricing page.

Billing & Payment:

• Subscriptions renew automatically on anniversary date unless cancelled
• Payment is processed through secure payment gateway (PCI-DSS Level 1)
• You authorize OSP to charge your provided payment method
• Invoices are issued upon payment confirmation
• Price changes take effect upon renewal or with 30 days notice

Cancellation: Subscriptions must be cancelled prior to renewal date. See Refund Policy for details on refunds and cancellation procedures.

7. INTELLECTUAL PROPERTY RIGHTS

OSP Platform: All platform code, design, features, and functionality are owned by OSP and protected by copyright and intellectual property laws. You are granted a limited, non-exclusive license to use OSP for authorized purposes only.

Your Data: You retain ownership of student data and institutional content. By using OSP, you grant OSP a limited license to store, process, and backup your data to provide services. OSP does not sell or commercialize your data.

Restrictions: You may not reverse-engineer, decompile, or attempt to derive OSP's source code or algorithms. Unauthorized copying or modification of OSP is prohibited.

8. LIMITATION OF LIABILITY

Disclaimer: OSP is provided "as-is" without warranties of any kind, express or implied. OSP does not guarantee uninterrupted service, error-free operation, or specific results.

Limitation: OSP's total liability for any claims arising from this agreement shall not exceed the amount paid by the user in the 12 months preceding the claim. OSP is not liable for:

• Indirect, incidental, or consequential damages
• Lost revenue, profits, or business opportunities
• Data loss or corruption (except where caused by OSP negligence)
• User errors or unauthorized access due to credential compromise
• Third-party services or external integrations

9. SERVICE LEVEL & UPTIME GUARANTEE

Uptime Commitment: OSP targets 99.5% monthly uptime, excluding scheduled maintenance and force majeure events. Planned maintenance is typically scheduled during off-peak hours with advance notice.

Scheduled Maintenance: OSP reserves the right to perform system maintenance with 48 hours notice. Emergency maintenance may be performed without notice if necessary for security or critical operations.

Service Credits: Excessive downtime may entitle customers to service credits. Contact OSP support for specific details based on your subscription plan.

10. DATA BACKUP & RECOVERY

OSP maintains automated daily backups of institutional data with disaster recovery protocols. However, users should maintain independent backups of critical data. While OSP implements industry-standard security, we cannot guarantee against all data loss scenarios. Users are responsible for backing up data they consider critical.

11. TERMINATION & SUSPENSION

Termination by User: You may cancel your subscription at any time subject to the Refund Policy.

Termination by OSP: OSP may suspend or terminate access if:

• Account violates these Terms & Conditions
• Payment is delinquent for 30+ days
• User engages in prohibited activities
• Court order or legal requirement mandates termination
• Suspected security breach or unauthorized access

Upon termination, data access is disabled. Data retention follows the Privacy Policy.

12. PLATFORM MODIFICATIONS & UPDATES

OSP reserves the right to modify, update, or discontinue features at any time. Significant changes will be communicated to users via email with reasonable advance notice. Your continued use following changes constitutes acceptance of modifications. Major feature discontinuations in paid plans will be announced 30+ days in advance.

13. THIRD-PARTY SERVICES & INTEGRATIONS

OSP integrates with third-party services (payment gateways, video conferencing, storage providers). OSP is not responsible for third-party service performance, security, or availability. You agree to comply with third-party terms of service. Any disputes with third-party providers should be addressed directly with them.

14. INDEMNIFICATION

You agree to indemnify and hold harmless OSP, its officers, employees, and agents from any claims, damages, or costs (including legal fees) arising from: (a) your use of OSP; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) your content or data uploaded to OSP; (e) your infringement of others' intellectual property rights.

15. DISPUTE RESOLUTION & GOVERNING LAW

Governing Law: These Terms are governed by the laws of Pakistan. Any disputes shall be subject to Pakistan's jurisdiction.

Dispute Process: Before legal action, parties agree to attempt resolution through good-faith negotiation. If unresolved within 30 days, formal arbitration or litigation may proceed.

17. CHANGES TO TERMS

OSP reserves the right to modify these Terms & Conditions at any time. Changes take effect immediately upon posting. Major modifications will be communicated to users via email. Continued use of OSP following changes constitutes acceptance of revised terms.
